1. Interpretation
1.1 In these Conditions: - “Conditions” means the standard terms and conditions of sale set out in this document and (unless the context otherwise requires) includes any special terms and conditions agreed in writing between the Customer and Bobcat Digital Ltd. - “Contract” means the contract between the Customer and Bobcat Digital Ltd for the supply of Goods and/or Services in accordance with these Conditions. - “Customer” means the person whose order for Goods and/or Services is accepted by Bobcat Digital Ltd. - “Goods” means the goods which Bobcat Digital Ltd sells to the Customer under these Conditions. - “Order Confirmation” means the acknowledgement of the Quotation provided by Bobcat Digital Ltd to the Customer whether written or oral. - “Quotation” means the quotation for the Goods and Services provided to the Customer by Bobcat Digital Ltd whether written or oral. - “Services” means any services provided to the Customer (including all of them or any part of them) under a Contract. - “Bobcat Digital Ltd” means the Bobcat Digital Ltd business selling the Goods and/or Services, details of which are given in the Quotation and/or whose details have been provided to the Customer either in writing or orally.
1.2 Any reference in these Conditions to any provision of a statute shall be construed as a reference to that provision as amended, re-enacted or extended at the relevant time.
1.3 The headings in these Conditions are for convenience only and shall not affect their interpretation.
2. Making the Contract
2.1 Each Quotation will be deemed to be an offer by the Customer to buy the Goods and/or Services in accordance with these Conditions. The Contract is made when the Quotation is accepted by Bobcat Digital Ltd by the issue to the Customer of an Order Confirmation.
2.2 The Contract is subject to these Conditions which shall govern the Contract to the exclusion of any other terms and conditions.
2.3 No variation to these Conditions shall be binding unless agreed in writing.
2.4 The Customer must ensure that the terms of the Quotation and any applicable specification are complete and accurate.
2.5 Quotations are valid for 30 days unless otherwise agreed.
2.6 Any advice given but not confirmed in writing by Bobcat Digital Ltd is followed at the Customer’s own risk.
3. Provision of the Goods and Services
3.1 The quantity, quality and description of and any specification for the Goods and Services shall be those set out in the Quotation. It is the Customer’s responsibility to check the structure to which the Goods are to be affixed and to prepare surfaces for installation. Following installation, the Customer is responsible for ongoing inspection, maintenance and repair of Goods supplied.
3.2 If the Goods are manufactured in accordance with a specification submitted by the Customer, the Customer shall indemnify Bobcat Digital Ltd against all loss, damages, costs and expenses incurred in connection with claims of infringement of intellectual property rights.
3.3 Bobcat Digital Ltd reserves the right to make changes to specifications required to comply with legal or safety requirements or which do not materially affect quality or performance.
3.4 No order which has been accepted may be cancelled except with written agreement and full indemnity to Bobcat Digital Ltd.
3.5 Where information is supplied by the Customer, the Customer is responsible for its accuracy.
3.6 All samples, drawings, illustrations or descriptions issued by Bobcat Digital Ltd are approximate only and do not form part of the Contract.
3.7 At the Customer’s request and cost, Bobcat Digital Ltd may remove existing signage from the premises.
3.8 The Customer must obtain all necessary consents and approvals (e.g. planning permission, landlord consent) prior to installation.
3.9 All intellectual property rights arising from the creation of Goods by Bobcat Digital Ltd shall remain its property.
Additional Clauses: - Electrical Supply: Where Goods require an electrical connection, Bobcat Digital Ltd will connect only to an existing, suitable and isolated supply point provided by the Customer. It is the Customer’s responsibility to ensure the supply is safe and compliant. Bobcat Digital Ltd will not undertake electrical installation or certification. Any remedial works required remain the Customer’s responsibility. - Access and Site Conditions: The Customer shall ensure safe, unobstructed access to the premises and installation site. This includes suitable ground conditions, provision of scaffolding/ lifting equipment, and permits where required. Additional costs or abortive visits caused by unsafe or restricted access will be charged to the Customer. - Ongoing Maintenance and Inspection: Following installation, the Customer is responsible for the ongoing inspection, cleaning, and maintenance of the Goods. The Customer must check the Goods at regular intervals and in any event no later than 30 days after installation, and thereafter at intervals not exceeding 6 months, to ensure they remain safe, secure and in good working order. Bobcat Digital Ltd accepts no liability for any damage, deterioration, or failure arising from the Customer’s failure to carry out such inspections and maintenance. - Artwork Approval: All proofs and visuals must be checked and approved by the Customer. Approval is deemed final, and Bobcat Digital Ltd accepts no liability for errors (including spelling, layout, colours or dimensions) once approved. - Removal and Disposal: Unless otherwise agreed in writing, removal and disposal of existing signage or associated materials is excluded. Additional charges will apply if requested.
4. Price of the Goods
4.1 The price shall be as set out in the Order Confirmation or Quotation.
4.2 Bobcat Digital Ltd reserves the right to increase the price to cover additional costs due to external factors, delays, amendments, or inaccurate Customer information.
4.3 Prices exclude packaging, delivery and VAT unless expressly stated.
5. Terms of Payment
5.1 Unless otherwise agreed, Bobcat Digital Ltd shall be entitled to invoice the Customer on or after delivery or completion of Services.
5.2 Payment is due within 30 days of invoice date unless otherwise agreed.
5.3 If the Customer fails to pay on time, Bobcat Digital Ltd may suspend further deliveries, charge interest at 4% above Barclays Bank base rate, and apply payments against outstanding invoices as it sees fit.
5.4 Refunds and Credit Notes: Bobcat Digital Ltd does not offer cash refunds. Where a credit is due, this will be provided by way of a credit note, redeemable against future purchases only, valid for 12 months unless otherwise agreed.
5.5 Debt Recovery: In the event of late or non-payment, Bobcat Digital Ltd reserves the right to refer the outstanding debt to a collection agency or legal representative. All associated costs, fees and expenses incurred in recovery will be payable by the Customer.
6. Delivery
6.1 Delivery shall be made by collection or as agreed.
6.2 Dates quoted are approximate only. Time for delivery is not of the essence unless agreed in writing. 6.3 If the Customer fails to take delivery or provide access, Bobcat Digital Ltd may charge for storage or resell the Goods.
6.4 Delivery may be made in instalments. Each instalment is a separate Contract.
7. Risk and Property
7.1 Risk passes to the Customer on delivery or collection.
7.2 Ownership remains with Bobcat Digital Ltd until payment is received in full.
7.3 Until ownership passes, the Customer must store Goods separately and keep them insured. 7.4 Bobcat Digital Ltd may repossess Goods if payment is not received.
Additional Clause: - Insurance and Risk During Installation: While Bobcat Digital Ltd maintains public liability insurance, the Customer must insure its premises and property during installation. Bobcat Digital Ltd is not liable for pre-existing defects or damage uncovered during works.
8. Warranties, Liabilities and Indemnity
8.1 Goods and Services are warranted for 12 months against defects in material, workmanship or design (unless caused by misuse, poor maintenance, adverse conditions, or Customer error).
8.2 Repairs or replacements are covered only for the remainder of the original warranty period.
8.3 Warranties on third-party parts are limited to those provided by the manufacturer.
8.4 Liability is accepted only for death or personal injury caused by negligence.
8.5 Bobcat Digital Ltd excludes liability for economic loss, loss of business, or indirect/consequential losses.
8.6 The Customer agrees these limitations are reasonable and reflected in the price.
8.7 Bobcat Digital Ltd is not liable for delays outside its reasonable control (force majeure).
8.8 The Customer indemnifies Bobcat Digital Ltd against losses resulting from Customer breach or negligence.
9. Data Protection
By placing a Quotation, the Customer consents to Bobcat Digital Ltd using personal details for supply, invoicing, subcontracting, and marketing purposes. Data will not be used for other purposes without consent.
10. General
10.1 Notices must be in writing and delivered to the registered address.
10.2 Bobcat Digital Ltd may subcontract or assign rights under the Contract.
10.3 The Customer may not transfer rights without consent.
10.4 No third party may enforce these Conditions except Bobcat Digital Ltd Limited.
10.5 If any clause is found invalid, the remainder shall still apply.
10.6 These Conditions are governed by English law and subject to the exclusive jurisdiction of the English courts.
